As chamadas stock options são bastante comuns no Brasil. Elas se tratam de opções de compra de ações que empresas oferecem para colaboradores-chave que são, normalmente, altos executivos e profissionais especializados.

É através desse tipo de incentivo que as empresas retêm e recrutam novos talentos, em troca de uma participação na companhia.

Os beneficiários, por meio das stock options, podem adquirir ações da empresa, no futuro, a um preço pré estabelecido e que, normalmente, é mais vantajoso do que o praticado no mercado.

Na prática, as stock options funcionam em diferentes etapas e a primeira delas é a carência inicial que o colaborador precisa cumprir para executar as opções de compra a partir do momento em que é contratado.

Assim que esse período for concluído, o colaborador começa a adquirir o direito de comprar as ações, conforme acordado. Nesse caso, ele precisará permanecer na companhia por cinco anos a fim de usufruir de todo o benefício.

Assim que este colaborador exerce a opção, caso o preço de exercício negociado no contrato for menor do que o preço da ação no mercado de ações, este estará comprando a participação com desconto, podendo ter ganho de capital se vender os seus papéis.

Vale destacar que algumas empresas oferecem as stock options gratuitamente aos colaboradores, fazendo com que a Justiça do Trabalho e Receita Federal considerassem o benefício uma verba trabalhista.

Por esse motivo, algumas empresas precisaram recolher o Fundo de Garantia por Tempo de Serviço (FGTS) , 13º salário, férias e outros encargos sobre esses valores.

Caso uma companhia deseja aplicar esse tipo de retenção, alguns cuidados devem ser tomados. Assim, para que o benefício não seja considerado uma verba trabalhista, não deve-se atrelar a sua concessão à performance do colaborador.

Uma outra orientação é deixar clara a natureza onerosa das opções.
